Sale of ACS Media Income Fund's Operating Business, ACS Media LLC, to Local Insight Media LLC

On September 25, 2006 ACS Media Income Fund announced that it had entered into a definitive agreement with Local Insight Media LLC under which Pendo Acquisition ULC ("Pendo"), an indirect wholly owned subsidiary of Local Insight Media LLC will acquire ACS Media LLC, the Fund's operating business.

The transaction was approved by the Fund's unitholders at a special meeting, held in Toronto on November 20, 2006
